The People Readiness Company (TPRC) is a brand by MUAIDENTITY INC.
These Terms of Service ("Terms") govern your access to and use of the website at https://www.thepeoplereadiness.com, the application at https://app.thepeoplereadiness.com, and any related software, products, and services provided by MUAIDENTITY INC. ("MUAIDENTITY INC.", "TPRC", "we", "us", or "our") (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree with these Terms, you are not permitted to access or use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
TPRC is a business-to-business company. The Services are intended for organizations and the professionals who use them at work; they are not a consumer product and are not intended for personal, family, or household use. We do not sell to individual consumers. By using the Services, you represent that you are acting for business purposes and are of legal age to enter into a binding contract in your jurisdiction.
We may review and amend these Terms at our discretion. When we do, we will update this page and revise the "Last updated" date below. Changes take effect upon publication, except that material changes affecting paid Services will apply on a going-forward basis. Your continued use of the Services after changes are published constitutes acceptance of the revised Terms.

Definitions
"Content" means any text, files, data, software, images, or other materials. "Materials" means content we make available through the Services. "Your Content" means content you submit, upload, or transmit through the Services. "Account" means a registered account for the app or other Services.
Relationship to other agreements
If you purchase paid software subscriptions or consulting services from us under a separately signed agreement — such as a master services agreement (MSA), order form, statement of work, or data processing agreement (DPA) — that signed agreement governs those paid Services and prevails over these Terms to the extent of any conflict. These Terms continue to govern your general access to and use of the website and app where a signed agreement does not apply.
Accounts and registration
Some Services require an Account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your Account. Notify us promptly at the contact details below if you suspect unauthorized use. We may refuse, suspend, or terminate Accounts at our discretion as described in these Terms. Accounts are for business use by professionals, as described in the eligibility statement above.
Acceptable use and limitations
By using the Services, you warrant on behalf of yourself, your users, and any party you represent that you will not:
- modify, copy, prepare derivative works of, decompile, or reverse engineer any materials or software contained in the Services, except as permitted by law;
- remove any copyright or other proprietary notations from any materials or software in the Services;
- transfer the Materials to another person or "mirror" the Materials on any other server;
- knowingly or negligently use the Services in a way that abuses, disrupts, or overburdens our networks, systems, or any other service we provide;
- use the Services to transmit or publish any harassing, indecent, obscene, fraudulent, hateful, or unlawful material;
- use the Services in violation of any applicable law or regulation;
- use the Services to send unauthorized advertising or spam;
- harvest, collect, or gather user data without the relevant user's consent;
- probe, scan, or test the vulnerability of the Services, or breach or circumvent any security or authentication measures;
- access the Services through automated means (such as scraping or bots) except as we expressly permit; or
- use the Services in a way that may infringe the privacy, intellectual property, or other rights of third parties.
We may investigate and take appropriate action, including suspending or terminating access, for any actual or suspected violation.
Intellectual property
The intellectual property in the Materials and the Services is owned by or licensed to MUAIDENTITY INC. and is protected by applicable copyright, trademark, and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services and to download one copy of the website Materials for your own business or personal, non-commercial reference. This is a license, not a transfer of title, and it automatically terminates if you violate these Terms, or may be terminated by us at any time. "The People Readiness Company," "TPRC," "MUAIDENTITY," and our logos are our trademarks; you may not use them without our prior written permission.
Your content
You retain ownership of Your Content. We do not claim ownership of it, but we require a license to operate the Services. When you post, upload, share, or transmit Your Content through the Services, you grant us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, host, store, reproduce, modify, run, copy, publicly display, translate, and create derivative works of Your Content, solely as needed to provide, secure, and improve the Services, and in a manner consistent with our Privacy Policy.
You can terminate this license at any time by deleting Your Content or your Account. However, where we (or our partners) have used Your Content in connection with commercial or sponsored content, the license continues until that commercial use has been discontinued. You represent that you have the rights necessary to grant this license and that Your Content does not violate any law or third-party right. You give us permission to use your username and identifying information associated with your Account in a manner consistent with our Privacy Policy.
Feedback
If you send us suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use it without restriction or obligation to you.
Fees and paid services
Where Services are offered for a fee, the applicable fees, billing terms, and subscription details are set out at the point of purchase or in your order form or MSA. Unless stated otherwise or required by law, fees are non-refundable. We may change fees on a going-forward basis with reasonable notice. You are responsible for any applicable taxes. Failure to pay may result in suspension or termination of the relevant Services.
Service availability and changes
We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services at any time, and we may impose limits on certain features. Where this materially affects paid Services, we will use reasonable efforts to provide advance notice.
Third-party links and services
The Services may link to or integrate with third-party websites or services we do not control. We have not reviewed all linked sites and are not responsible for their content, and the inclusion of any link does not imply our endorsement. Your use of any third-party site or service is at your own risk and subject to that third party's terms. We strongly advise you to make your own investigations as to their suitability.
Disclaimer of warranties; accuracy of materials
The Services and the Materials are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, MUAIDENTITY INC. makes no warranties, express or implied, and disclaims all other warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
The Materials appearing in the Services are for general information only, are not comprehensive, and do not constitute professional, legal, financial, or other advice. We do not warrant or make representations concerning the accuracy, likely results, or reliability of the Materials or of any resources linked to the Services. Any reliance you place on the Materials is at your own risk.
Limitation of liability
To the maximum extent permitted by law, in no event will MUAIDENTITY INC. or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use of, or inability to use, the Services or the Materials, even if we or an authorized representative have been advised of the possibility of such damage. In these Terms, "consequential loss" includes any consequential, indirect, special, or incidental loss; real or anticipated loss of profit, benefit, revenue, business, goodwill, opportunity, or savings; loss of reputation or use; and loss or corruption of data — whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services and these Terms will not exceed the greater of the amounts you paid us for the relevant Services in the twelve months before the event giving rise to the liability, or USD 100. Because some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for consequential or incidental damages, some of these limitations may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless MUAIDENTITY INC. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your use of the Services, Your Content, or your breach of these Terms or of any law or third-party right.
Suspension and termination
We may suspend or terminate your access to the Services and terminate these Terms immediately, with or without notice, for any breach of these Terms or to protect the Services or other users. You may stop using the Services at any time. Upon termination, your right to use the Services ceases, and any provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
Severance
Any term of these Terms that is wholly or partially void or unenforceable is severed to the extent it is void or unenforceable, and the validity of the remainder is not affected.
Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any dispute arising out of or relating to these Terms or the Services.
Entire agreement; assignment
These Terms, together with our Privacy Policy and any applicable signed agreement, constitute the entire agreement between you and us regarding the Services and supersede any prior understandings. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of it.
